JOB PURPOSE
The Head of Investment Banking is responsible for leading and managing the overall activities of the Investment Banking (IB) division, including equity capital markets (ECM), debt capital markets (DCM), mergers and acquisitions (M&A), corporate financial restructuring, corporate transformation, and corporate governance advisory. This role ensures the successful execution of IB transactions, builds and maintains strong client relationships, and contributes to the sustainable growth and reputation of the securities company.
CRITICAL ACCOUNTABILITIES
1. Business Development & Client Advisory
- Build, expand, and maintain relationships with corporate clients, financial institutions, and investors.
- Identify and develop new business opportunities in all IB services.
- Act as a trusted advisor to clients on strategic financial decisions.
2. Execution of Investment Banking Services
- Equity Capital Markets (ECM): Advise on IPOs, private placements, follow-on offerings, and other equity-related financing transactions.
- Debt Capital Markets (DCM): Provide advisory services for corporate bond issuance, convertible bonds, and other debt instruments.
- Mergers & Acquisitions (M&A): Lead end-to-end advisory services for mergers, acquisitions, divestitures, and strategic partnerships.
- Corporate Financial Restructuring: Design and implement solutions to optimize capital structure, improve financial efficiency, and enhance corporate value.
- Corporate Transformation: Support businesses in changing legal entity types or restructuring their operational models.
- Corporate Governance: Advise on adopting best practices in transparency, governance standards, and board management.
3. Team Management & Leadership
- Lead, mentor, and develop the Investment Banking team, ensuring expertise and execution capabilities.
- Define the IB department’s strategic direction aligned with the company’s objectives.
- Foster a high-performance, professional, and client-centric culture.
4. Governance & Compliance
- Ensure all advisory and transaction activities comply with regulations of the State Securities Commission and internal company policies.
- Identify and mitigate risks in IB transactions and advisory engagements.
OUTCOMES &MEASURES
- Successfully execute ECM, DCM, and M&A transactions as approved by the Management Board.
- Achieve the annual revenue and profit targets assigned by the Management Board.
- Enhance the company’s reputation and market position in the investment banking sector.
- Expand, strengthen, and maintain long-term strategic relationships with partners.
- Build a competent investment banking team with strong technical expertise and execution capabilities.
REQUIREMENTS
1. Educational Qualifications
- Bachelor’s or Master’s degree in Finance, Banking, Accounting, Business Administration, or related fields.
- Possession of a valid securities practicing certificate.
- Professional certifications such as CFA, CPA.
2. Job knowledge
- In-depth knowledge of capital markets, securities, M&A, and investment banking services.
- Strong understanding of legal and regulatory frameworks governing securities issuance, financial transactions, and corporate advisory.
- Proven track record of managing ECM, DCM, M&A, or corporate restructuring transactions
3. Relevant Experience
- Minimum 10 years of experience in investment banking, corporate finance, or M&A advisory.
- Significant senior management experience with direct involvement in large-scale transactions
4. Required Competencies
- Ability to work under pressure and meet business performance targets.
- Excellent communication, negotiation, and client relationship management skills; strong customer-centric mindset.
- Strategic thinking with advanced problem-solving and analytical skills.
